Diversity in expertise and experience

The diversity of expertise and experiences increases the performance of the Board of Directors and its committees. Competence and independence criteria should guide the shareholder for the appointment of directors. Each organization should have an application revision process adapted to their reality and this process should be known by shareholders or members. The Nominating Committee establishes a profile of the experience and expertise wanted for the board and adopts a selection process for the candidates, taking into account the competencies and skills that the Board and its committees should possess as a whole, and the competencies and skills of each Director in place as well as every new candidate.

Age limit for directors

Shareholders or members favour the composition of a competent Board of Directors with expertise relevant to the organization. Also, we should consider there must be a balance between stability within a council and the questioning of its practices. For these reasons, we consider that the decision to impose any age limits for directors belongs to the board and not to the shareholders and members.

Women’s representation

Competence and independence criteria should guide the members in the appointment of directors. Organizations adopting policies to promote equity in the workplace benefit undeniably from them. This allows them to recruit and retain qualified employees, as well as avoiding costly legal proceedings. Although many organizations have chosen this path, women are still under-represented in management positions, the board, and its committees.
